Terms of Service

These Terms of Service govern the use of the Reflytic platform (hereinafter "Platform" or "Service") between:

Users:

• Moderators: Google Analytics property owners who recruit Promoters
• Promoters: Social media influencers who promote campaigns

By registering, you fully and bindingly accept these Terms of Service.

2.1 Platform Features
Reflytic offers a revenue-share platform with the following functions:

• Google Analytics integration with OAuth 2.0
• Campaign management with UTM tracking
• Real-time performance analytics
• Automated revenue share calculations
• In-app chat between Moderators and Promoters
• URL shortening for campaign links
• Dashboard-based reporting tools
• Subscription management (Free, Growth, Scale, Pro, Custom)

2.2 No Results Guarantee
We do not guarantee specific revenues, traffic volumes, or conversion rates. Success depends on your campaign strategy, content quality, and audience targeting.

2.3 Availability
We aim for 99.5% availability but cannot guarantee it. Maintenance work will be announced when possible.

3.1 Requirements

• Minimum age: 18 years
• Legal capacity
• Truthful information during registration
• Valid email address

3.2 Moderator Registration

• Free registration without Access Key
• Mandatory Google Analytics connection before campaign creation
• Choice of subscription plan (Free, Growth, Scale, Pro)

3.3 Promoter Registration

• Free registration (invite Key optional)
• Promoters can be assigned to a Moderator or switch later
• Access only to assigned campaigns

3.4 Account Security
You are responsible for:

• Keeping your password confidential
• All activities under your account
• Immediate notification of unauthorized access
• Activating two-factor authentication (recommended)

3.5 Account Suspension
We reserve the right to suspend accounts for violations of these Terms without prior notice.

4.1 Subscription Plans

• Free Plan: 2 campaigns, 1 Partnership Slot, 1 GA Property
• Growth Plan: 8 campaigns, 4 Partnership Slots, 1 GA Property
• Scale Plan: 20 campaigns, 10 Partnership Slots, 2 GA Properties
• Pro Plan: 50 campaigns, 25 Partnership Slots, 3 GA Properties
• Custom plans upon request

4.2 Payment Terms

• Payment processing via Stripe
• Monthly or annual billing (your choice)
• Automatic renewal unless canceled
• Price changes announced 30 days in advance

4.3 Refunds

• No refunds for monthly subscriptions
• Annual subscriptions: Pro-rata refund if canceled within first 30 days
• No refund claim for violations of these Terms

4.4 Payment Default
In case of payment default:

• Day 1-7: Reminder email
• Day 8-14: Warning + restricted access
• Day 15+: Account suspension until payment

5.1 Revenue Share Agreements

• Moderators set revenue share percentage individually for each Promoter
• Changes: Maximum 2 times per month
• Changes effective from next day (not retroactive)

5.2 Calculation Basis

• Revenue from Google Analytics (transaction revenue)
• UTM parameter-based attribution
• Timezone according to Google Analytics Property settings
• Data finalized 2 days after month end

5.3 Invoicing and Payouts

• Invoicing: Reflytic automatically generates statements on the 3rd day of the following month.
• Payment Processing: Payouts are made directly from the Moderator to the Promoter.
• Responsibility: Reflytic only calculates the amounts; the transaction is the sole responsibility of the Moderator.
• Payment Terms: As agreed upon between Moderator and Promoter.

5.4 Tax Responsibility
You are responsible for taxing your income yourself. We provide invoices but no tax advice.

6.1 Required Permissions
Moderators must grant the following OAuth scopes:

• analytics.readonly: Read access to Analytics data

Note: Reflytic does not require write access to Google Analytics. Property metadata (e.g. timezone/currency) is read-only.

6.2 Data Processing

• Aggregation daily at 01:00 (Property timezone)
• Data caching for performance optimization
• Finalization 48 hours after month end

6.3 Permission Revocation
Upon revocation of Google permission:

• All campaigns are deactivated
• Historical data remains preserved
• Re-authorization possible anytime

6.4 Multiple Properties (Premium)
Scale/Pro users can manage multiple GA properties:

• Campaigns assigned to individual properties
• Separate analytics dashboards per property

7.1 Campaign Creation (Moderators)

• Unique Campaign ID per Moderator required
• UTM parameters automatically generated
• Short URL based on Campaign ID
• Assignment to Promoters at choice

7.2 Campaign Guidelines
Moderators can define guidelines per campaign:

• Allowed advertising channels
• Content guidelines
• Brand guidelines
• Prohibited practices

7.3 Promoter Obligations

• Compliance with campaign guidelines
• Truthful promotion
• No misleading advertising
• Compliance with platform policies (social media)

7.4 Campaign Deactivation
Moderators can deactivate campaigns anytime:

• Immediate effect
• Promoters are notified
• Analytics data remains available

The following activities are strictly prohibited:

8.1 Technical Violations

• Manipulation of Analytics data
• Fake traffic generation (bots, click farms)
• SQL injection, XSS, or other attacks
• Reverse engineering of the platform
• Scraping or automated data extraction

8.2 Content Violations

• Illegal content (hate speech, glorification of violence)
• Pornographic or youth-endangering content
• Copyright infringement
• Spam or unwanted advertising

8.3 Commercial Violations

• Sale or rental of Access Keys
• Multiple accounts to circumvent limits
• Fraud or deception of partners
• Money laundering or terrorism financing

Consequences: Immediate account suspension + legal action + claims for damages

9.1 Platform Rights
All rights to the platform, logos, trademarks, and software remain with KERNATEC.

9.2 User Content

• You retain all rights to your campaign content
• You grant us a non-exclusive right to display on the platform
• You guarantee that you possess all necessary rights

9.3 Analytics Data

• Raw data remains with Google Analytics
• Aggregated data on Reflytic is licensed for your use
• No sharing with third parties without consent

10.1 Warranty Disclaimer
The platform is provided "as is". We assume no warranty for:

• Error-free functionality
• Uninterrupted availability
• Accuracy of Analytics data (source: Google Analytics)
• Campaign success

10.2 Limitation of Liability
Our liability is limited to:

• Intent and gross negligence
• Violation of essential contractual obligations
• Personal injury

10.3 Damages for Slight Negligence
Maximum the subscription fees paid in the last year.

10.4 Third-Party Services
We assume no liability for outages or errors of Google Analytics, Stripe, or other third-party providers.

Processing of personal data is conducted according to our Privacy Policy (reflytic.com/legal/privacy).

Important points:

• Encryption of all personal data
• GDPR-compliant processing
• Right to access, deletion, and data portability
• Consent required for Google Analytics integration

12.1 Contract Term

• Start: Upon registration
• Duration: Unlimited (Free Plan) or according to subscription

12.2 Ordinary Termination

• Moderators: Anytime to end of month (monthly subscription)
• Promoters: Anytime with immediate effect
• Form of termination: Written via email to legal@reflytic.com

12.3 Extraordinary Termination
For serious violations:

• Immediate suspension without prior notice
• No refund claim
• Damage claims reserved

12.4 Consequences of Termination

• Deactivation of all campaigns
• Account deletion after 30 days
• Export of your data possible (before deletion)
• Outstanding payments will be settled

13.1 Right to Amend
We reserve the right to change these Terms as needed to:

• Account for new features
• Meet legal requirements
• Prevent abuse

13.2 Notification

• Significant changes: 30 days advance notice via email
• Minor changes: In-app notification

13.3 Right to Object
For significant changes, you can cancel within 30 days. Otherwise, new Terms are deemed accepted.

14.1 Applicable Law
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

14.2 Jurisdiction
Exclusive jurisdiction is Bochum, provided you are a merchant, legal entity under public law, or special fund under public law.

14.3 Severability Clause
If individual provisions are invalid, the validity of the remaining provisions remains unaffected.

14.4 Assignment
You may not transfer your rights and obligations without our written consent.

14.5 Contract Language
The German version is authoritative. Translations are for orientation only.
